Terms of Service
Yoinkme is operated by Upturn Consultancy LLC
1. Acceptance of Terms
By accessing, using, or subscribing to the Yoinkme platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you may not access or use the Service. Your continued use of the Service following any changes to these Terms constitutes your acceptance of those changes.
2. Eligibility
You represent and warrant that:
- You are at least 18 years of age and possess legal capacity to enter into binding contracts.
- If you are entering into these Terms on behalf of a business or organization, you have the authority to bind that entity to these Terms.
- You are not a resident of a country or region subject to U.S. economic sanctions.
- You are not listed on any government restricted party lists or designated as a terrorist or narcotics trafficker.
3. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials and password. You agree to notify us immediately of any unauthorized access or use of your account. We are not liable for any loss or damage resulting from your failure to maintain account security or your unauthorized sharing of credentials.
4. Description of Service
Yoinkme provides a social media automation platform enabling users to:
- Automate replies to comments on Instagram and LinkedIn posts.
- Send automated personalized direct messages (DMs) to followers or connections.
- Capture lead information from engaged users.
- Schedule and manage multi-channel social media campaigns.
- Access analytics and performance metrics for automated campaigns.
The Service connects to your social media accounts through authorized API integrations with third-party service providers.
5. User Responsibilities and Compliance
You agree to:
- Comply with all applicable laws and regulations in your jurisdiction.
- Comply fully with the terms of service, community guidelines, and acceptable use policies of Instagram, LinkedIn, Meta, and all other social media platforms you use with Yoinkme.
- Not use automation in a manner that violates platform policies, including: spam, harassment, impersonation, or misleading content.
- Not use the Service for any illegal, fraudulent, harmful, or deceptive purpose.
- Not disrupt, interfere with, or impede the operation of the Service or third-party systems.
- Not reverse engineer, decompile, or attempt to derive the source code or proprietary information of Yoinkme.
- Not scrape, crawl, or extract data beyond what is explicitly authorized by this Service.
- Ensure all content you provide for automation is original, licensed, or authorized for your use.
- Monitor your automated campaigns to ensure they comply with platform policies and legal requirements.
- Be solely responsible for the consequences of your automated actions on your social media accounts.
6. Assumption of Risk — Critical Disclaimer
You expressly acknowledge and assume all risks associated with using automation on your social media accounts.
By using Yoinkme, you understand and accept that:
- Social media platforms (Instagram, LinkedIn, Meta, and others) strictly prohibit or severely restrict automation and may impose account restrictions, temporary suspensions, permanent bans, or other penalties on accounts using automation tools, including Yoinkme.
- Your account may be flagged, limited, or permanently banned by Instagram, LinkedIn, Meta, or other platforms at any time, at their sole discretion, for any reason including suspected use of automation or third-party tools.
- Yoinkme is not responsible for any account restrictions, suspensions, bans, penalties, or other consequences imposed by Instagram, LinkedIn, Meta, or any other social media platform or service provider.
- You are choosing to use automation at your own risk and are fully responsible for monitoring your accounts and complying with platform terms of service.
- Yoinkme makes no guarantees that the Service will function without interruption or that it will not trigger platform detection mechanisms or result in account penalties.
- You cannot hold Yoinkme liable for lost followers, reduced engagement, lost leads, account suspension, ban, or any other consequences resulting from your use of the Service.
- The risk of account penalty or permanent ban is inherent to using any automation tool and is entirely on you.
7. Prohibited Uses
You may not use Yoinkme for:
- Spam, including sending unsolicited bulk messages or comments.
- Harassment, threats, bullying, or abusive behavior toward any person or entity.
- Fraud, scams, impersonation, or deceptive practices.
- Intellectual property infringement, including copyright or trademark violation.
- Unauthorized access to third-party systems or data beyond the scope of authorized API integrations.
- Malware, viruses, or malicious code injection.
- Illegal content or activities, including but not limited to: hate speech, violence, illegal goods/services.
- Circumventing security or access restrictions.
- Competitive intelligence gathering or reverse engineering.
- Violating the terms of service of any social media platform or third-party service provider.
8. Intellectual Property Rights
Yoinkme Platform
All content, software, source code, design, functionality, and intellectual property of the Yoinkme platform (including but not limited to logos, trademarks, features, algorithms) are owned by Upturn Consultancy LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service solely in accordance with these Terms. You may not sublicense, sell, distribute, or transfer this license.
Your Content
You retain all rights to content you provide to Yoinkme (including automated message templates, images, and lead capture forms). By providing content, you grant Yoinkme a worldwide, royalty-free license to use your content as necessary to deliver the Service and comply with platform requirements.
Third-Party Content
Content accessed through social media platforms remains the property of those platforms and their users. You may not use such content except as explicitly authorized by the platform terms of service.
9. Payment Terms and Billing
Subscription Plans
Billing and Auto-Renewal
You authorize us to charge your payment method on a monthly basis according to your selected plan. Your subscription will automatically renew each month on the anniversary of your billing date unless you cancel in advance.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
Price Changes
We reserve the right to modify subscription prices at any time. We will provide at least 30 days written notice of any price increase. Your continued use of the Service following price increase notification constitutes acceptance of the new pricing.
Payment Processing
Payments are processed by Stripe, a third-party payment processor. Your payment information is subject to Stripe's terms and privacy policy. We do not store complete credit card details.
10. Limitation of Liability
Disclaimer of Warranties
The Service is provided on an "as-is" and "as-available" basis. Yoinkme makes no representations or warranties of any kind, express or implied, including: merchantability, fitness for a particular purpose, non-infringement, or accuracy.
We do not guarantee that:
- The Service will be uninterrupted, error-free, or secure.
- Automation functions will execute as expected or will not trigger platform restrictions.
- Your leads, engagement, followers, or ROI will increase or meet any performance benchmark.
- Third-party API integrations will remain available or functional.
- Results are guaranteed or reproducible.
- The Service will comply with social media platform policies at any given time.
Limitation of Damages
In no event shall Yoinkme be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to: lost profits, lost revenue, lost data, lost business opportunity, reputational harm, or lost followers, regardless of the form of action and whether or not such damages were foreseeable or we were advised of the possibility.
Yoinkme's total liability to you shall not exceed the fees paid by you to Yoinkme in the twelve (12) months immediately preceding the event giving rise to liability. If no fees were paid, your remedy is limited to refund of any amounts paid.
11. Indemnification
You agree to indemnify, defend, and hold harmless Yoinkme (including Upturn Consultancy LLC, its officers, directors, employees, and agents) from and against any and all third-party claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service in violation of these Terms or applicable laws.
- Your automated actions or communications sent via the Service.
- Violation of any third-party rights (intellectual property, privacy, publicity) through your use of the Service.
- Your content, including automated messages, templates, or lead capture forms.
- Account restrictions, bans, or penalties imposed by social media platforms or service providers.
- Claims that you lacked authorization to connect your social media accounts to Yoinkme.
- Any breach of the Terms or representation you made herein.
12. Termination of Service
Termination by You
You may terminate your account at any time by canceling your subscription. Termination is effective at the end of your current billing period.
Termination by Yoinkme
We may suspend or terminate your account and access to the Service immediately and without notice if:
- You violate any provision of these Terms.
- You engage in illegal, fraudulent, or harmful activity.
- We are required to do so by law or court order.
- We discontinue the Service or features you are using.
- Your account poses a security risk or enables fraudulent activity.
- We determine your use of the Service violates social media platform policies.
- For any reason or no reason, at our sole discretion.
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Dispute Resolution) will survive.
13. Dispute Resolution and Governing Law
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your use thereof (including but not limited to contract disputes, tort claims, statutory claims, and common law claims) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court.
Arbitration Procedures
- The arbitration shall be conducted by a single neutral arbitrator.
- The arbitration shall take place in Wilmington, Delaware, or such other location as agreed by the parties.
- Each party shall bear its own attorneys' fees and costs, except as provided by law.
- The arbitrator shall apply Delaware law and may award any relief that would be available in court under Delaware law.
- The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
You and Yoinkme agree that each party may bring claims only in its individual capacity and not as a plaintiff or class member in any purported class or representative action. Class actions and class arbitrations are not permitted.
Exception: Notwithstanding the above, claims for injunctive or equitable relief may be brought in court.
14. Force Majeure
Yoinkme shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond our reasonable control, including but not limited to:
- Acts of God (earthquakes, floods, storms).
- War, terrorism, civil unrest, government actions.
- Internet outages, DNS failures, or telecommunications network disruptions.
- Third-party service provider outages, including social media platform downtime or API unavailability.
- Changes to social media platform policies, APIs, or Terms of Service.
- Pandemic, epidemic, or public health emergency.
- Any other circumstance beyond our reasonable control.
15. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yoinkme regarding the Service and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties. Failure to enforce any right shall not constitute waiver of that right.
Assignment: You may not assign or transfer your account or rights under these Terms. Yoinkme may assign these Terms to any successor or affiliate.
Notices: Any notice to Yoinkme must be sent to support@yoinkme.com. Notices to you will be sent to your registered email address.
